Agreement to these terms

These Terms of Use (“Terms”) are an agreement between you and Founder Suites Holdings LLC (“Founder Suites,” “we,” “us,” or “our”). They govern your use of foundersuites.com and any application, priority list or form on it (together, the “Site”). By using the Site, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use the Site.

You must be at least 18 years old to use the Site or apply for membership.

Membership is a separate agreement

The Site describes Founder Suites, but it does not create a membership or any other contract for space or services. Membership, use of desks, suites, the studio and other facilities, and Founders Circle consulting and coaching are governed only by a separate written agreement signed by you and Founder Suites. If that agreement conflicts with these Terms, that agreement controls.

Applications

• Founder Suites is approval-only. Sending an application does not guarantee a tour, membership, a particular desk or suite, or availability.
• We decide whether to approve an application in our sole discretion, and we may decline any application without giving a reason. We do not decline anyone on the basis of race, color, religion, sex, national origin, disability, age or any other characteristic protected by law.
• You agree that the information you send is accurate, is your own or is information you have permission to share, and that we may contact you about it as described in our Privacy Policy.

Pricing and availability

Prices on the Site are starting prices in U.S. dollars per month and do not include applicable taxes or fees. Actual pricing depends on the space, its size, the number of people and the length of the term. Prices, features, amenities and availability may change at any time without notice. Nothing on the Site is an offer to rent or license space; terms become binding only in a signed membership agreement.

Photos and descriptions

Photos, renderings and descriptions on the Site may be illustrative. They may not show the actual space, its furnishings or its current condition, and individual desks and suites vary.

Using the Site

You agree to use the Site only for lawful purposes. You agree not to:

• send false or misleading information, or apply on behalf of someone else without their permission;
• impersonate any person or misrepresent your connection to any person or business;
• send spam, or submit forms automatically or in bulk;
• scrape, copy or collect content or data from the Site by automated means, except as search engines do to index it;
• interfere with the Site’s operation or security, try to reach parts of it that aren’t public, or introduce malicious code; or
• use the Site in any way that violates the law or the rights of others.

Intellectual property

The Site and its content, including text, graphics, logos, photos and design, belong to Founder Suites or its licensors and are protected by intellectual property laws. “Founder Suites” and our logos are our trademarks. We grant you a limited, revocable, non-exclusive license to view the Site for your personal, non-commercial use. You may not copy, distribute, modify or create derivative works from it without our prior written consent.

Feedback

If you send us ideas or suggestions, including in an application, we may use them without any obligation to you.

Third-party services and links

The Site may include links to or content from services we don’t control, such as maps. We are not responsible for their content, policies or practices, and your use of them is at your own risk.

Not professional advice

Content on the Site, including descriptions of Founders Circle, events and resources, is for general information. It is not legal, financial, tax or other professional advice. Introductions to vendors are offered as a convenience, and we are not responsible for services provided by third parties.

Disclaimer of warranties

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or secure, or that its content is complete or current.

Limitation of liability

To the fullest extent permitted by law, Founder Suites and its owners, members, managers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to your use of the Site. Our total liability for any claim arising from or related to the Site will not exceed one hundred U.S. dollars ($100). Some jurisdictions don’t allow these limitations, so they may not all apply to you.

Indemnification

You agree to defend, indemnify and hold harmless Founder Suites and its owners, members, managers, employees and agents from any claims, damages, losses and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.

Governing law

These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-law rules. Any dispute arising from or related to these Terms or the Site will be brought only in the state or federal courts located in Johnson County, Kansas, and you consent to their jurisdiction.

Changes and termination

We may update these Terms from time to time. We will post the updated Terms on this page and change the date at the top. Your continued use of the Site after a change means you accept the updated Terms. We may suspend or end your access to the Site at any time if you violate these Terms.

General

These Terms and our Privacy Policy are the entire agreement between you and Founder Suites about the Site. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part is not a waiver. You may not transfer your rights under these Terms; we may transfer ours in connection with a merger, acquisition or sale of assets.
